What is the investment opportunity?
This investment opportunity is a 2-year, 10% annualized yield promissory note offered via 506c.
What is 506c?
506c is a crowd-funding opportunity under Regulation D. As part of the JOBS Act, the 506c rule permits companies to raise an unlimited amount of money from accredited investors via general soliciting and advertising. The 506c Pacaso is offering is filed under Pacaso Growth II LLC.

Who is eligible to participate?
Accredited investors are individuals or entities who satisfy certain criteria established by the SEC, enabling them to invest in complex or sophisticated types of offerings. For an individual to be accredited, for instance, specific criteria must be met, such as having an average yearly income of over $200,000 (or alternatively, over $300,000 if measured as a household), or a total net worth of over $1,000,000. Those are the two most common criteria for individuals, but both individuals and entities can qualify as accredited investors through several different metrics. We will verify each investor’s status as an accredited investor in our secure investment portal.

If I’m not an accredited investor, can I still invest in Pacaso?

Is there a maximum or minimum investment?
There is a $5,000 minimum investment, with no maximum.
What are the tax implications?
Like virtually all forms of debt, earned interest is taxable, and the return of principal is not. Each investor is encouraged to seek out their own personal tax advice.
What is the state of the market?
The overall real estate market is normalizing after the unsustainable pandemic years, but there continues to be demand and limited inventory in destination communities where Pacaso operates.
What is the status of Pacaso’s business?
Today’s real estate market is much more challenging than in the last couple of years. However, demand has been off to a positive start in 2023. Second home deposits have increased by 90% in the first two months of 2023 compared to the last two months of 2022. This is an encouraging indicator for our business. Our Series C funding also remains in the bank, and we’ve opened our runway thanks to adjustments made to align expenses with revenue.
